Premium Contributor Terms (Revenue Share)

These Premium Contributor Terms apply to creators who sell digital products on Ui3 under the 50% revenue share model. By submitting, listing, or selling Premium products on Ui3, you agree to these terms.

1. Overview

Ui3 is a digital marketplace for design templates, UI kits, and digital resources. As a Premium Contributor, you may list paid products on Ui3 and earn revenue from sales in accordance with the revenue share outlined below.

2. Revenue Share

Ui3 operates a 50% / 50% revenue share model for Premium products.

• 50% of net revenue is paid to the contributor
• 50% of net revenue is retained by Ui3

Net revenue means the sale price excluding VAT, sales tax, payment processor fees, refunds, chargebacks, and discounts.

3. Payments

• Payouts are calculated on completed and non-refunded transactions
• Payments are processed monthly, subject to a minimum payout threshold
• Ui3 is not responsible for delays caused by third-party payment providers

Contributors are responsible for providing accurate payout details and for any taxes due on earnings.

4. Eligibility and Approval

Ui3 reserves the right to approve, reject, or remove any Premium product at its sole discretion. Approval may consider quality, originality, usability, and alignment with the Ui3 brand.

Ui3 may suspend or terminate Premium access if these terms are breached.

5. Contributor Responsibilities

As a Premium Contributor, you confirm that:

• You own all rights to the submitted content or have permission to sell it
• Your products do not infringe intellectual property or third-party rights
• Your listings are accurate, lawful, and not misleading
• You will provide reasonable updates or fixes for critical issues

6. Licensing

By submitting Premium products to Ui3, you grant Ui3 a non-exclusive, worldwide licence to host, market, promote, and sell the products on the Ui3 platform.

Ownership of the content remains with the contributor.

7. Pricing and Discounts

Ui3 may apply site-wide promotions, discounts, or bundles at its discretion. Revenue share will be calculated based on the discounted net sale price.

8. Refunds and Chargebacks

• Refunded or disputed transactions are excluded from revenue calculations
• Ui3 reserves the right to deduct refunded amounts from future payouts

9. Termination

Either party may terminate participation in the Premium programme at any time. Upon termination:

• Products may be removed from sale
• Outstanding eligible earnings will be paid in the next payout cycle
• Ui3 may retain transaction records for legal and accounting purposes

10. Limitation of Liability

Ui3 is provided on an “as is” basis. To the maximum extent permitted by law, Ui3 shall not be liable for indirect, incidental, or consequential losses, including loss of revenue or data.

11. Changes to These Terms

Ui3 may update these Premium Contributor Terms from time to time. Continued participation after changes are posted constitutes acceptance of the revised terms.
